Creator Agreement

1. Platform Description

The Platform is a subscription-based digital music streaming service operated by Streamtunes. Users pay the Platform for access to stream audio content made available by Creators.

Creators may receive compensation from the Platform based on measured usage of their content within the Platform, including qualifying streams. Such compensation is paid solely for participation in the Platform and is not consideration for the licensing, sale, or transfer of copyrights.

Creators are not sellers, are not merchants of record, and do not transact directly with end users.

2. Eligibility and Account Setup

To participate as a Creator, you must:

• Be at least 18 years old
• Have a valid PayPal account in good standing that can receive payments
• Complete tax form onboarding through our designated tax accounting service
• Provide accurate tax and identity information
• Maintain an active payout-enabled PayPal account

2.1 PayPal Account Requirements

To receive payouts, you must have a valid PayPal account. You may use either a personal or business PayPal account.

During onboarding, you will be asked to:

• Provide the email address associated with your PayPal account
• Affirm that you have a valid PayPal account in good standing

You are solely responsible for ensuring your PayPal account can receive payments. The Platform is not responsible for:

• Failed payouts due to an invalid, suspended, or limited PayPal account
• Payouts sent to an incorrect email address you provided
• PayPal fees, policies, or account limitations

If a payout fails due to PayPal account issues, the Platform is not obligated to recover or re-send the failed payment.

2.2 Tax Form Onboarding

You must complete tax onboarding before receiving payouts, including:

• Completing IRS Form W-9 (U.S. persons) or W-8 (non-U.S. persons)
• Submitting accurate and complete tax information

Failure to complete onboarding may result in delayed or withheld payouts.

2.3 Creator Eligibility Based on Service Location (Platform Policy)

At this time, Streamtunes supports paid creator participation only if:

1. You are a U.S. person for U.S. tax purposes; or
2. You are not a U.S. person and you perform all creator activities for Streamtunes entirely outside the United States.

If you are not a U.S. person and you will perform any creator activities while physically present in the United States, you are not currently eligible to receive payouts through the Platform.

For purposes of this Agreement, creator activities include uploading content, managing or modifying uploaded content, maintaining a creator account, and any other actions related to monetized participation on the Platform.

You agree to promptly notify Streamtunes if any information affecting your eligibility changes, including changes to where you perform creator activities. Streamtunes may rely on your most recent certification when determining payout eligibility.

3. Ownership and License Grant

You represent and warrant that:

• You own or control all necessary rights to your content
• Your content does not infringe third-party rights
• You retain full ownership of your content

You grant the Platform a non-exclusive, worldwide, royalty-free license to host, store, cache, reproduce (solely for technical purposes), stream, publicly perform (via digital audio transmission), display, transmit, and otherwise make your content available only as necessary to operate, maintain, market, and improve the Platform.

This license is sublicensable solely to the Platform's service providers and subcontractors, only to the extent necessary for them to provide services to the Platform, and not for any independent use or commercialization.

This license is granted without separate consideration and is independent of any compensation paid under this Agreement.

Except for the limited rights expressly granted above, you retain all right, title, and interest in your content.

Plain English: This lets us and our technical vendors host and stream your tracks on Streamtunes, but does not give anyone the right to sell or use your music outside the Platform.

4. Creator Compensation and Payouts

4.1 Compensation Calculation

Creator compensation is calculated based on qualifying streams (minimum 30 seconds) and other platform usage metrics determined by the Platform.

Compensation is paid for participation in the Platform's streaming ecosystem and does not constitute copyright royalties, license fees, or payments for the exploitation of intellectual property.

4.2 Payment Timing

• Earnings are accrued internally
• Payouts are issued weekly
• Minimum payout thresholds may apply

5. Taxes

Creators are independent contractors.

5.1 Tax Withholding

U.S. Creators: No withholding unless backup withholding applies (24% if indicated on Form W-9).

Non-U.S. Creators: Streamtunes may limit, suspend, or disable payouts where required to comply with applicable tax or regulatory obligations. Streamtunes does not provide tax advice.

5.4 Tax Classification

Compensation is classified by the Platform based on U.S. tax law and Platform policy, not terminology used in this Agreement.

6. Content Standards and Enforcement

Creators are responsible for ensuring that all content uploaded to the Platform complies with this Agreement and all applicable laws and regulations.

The Platform is intended to provide a safe, respectful, and inclusive environment for listeners. Content that violates the standards below is not permitted.

The Platform reserves the right to terminate your status as a Creator and to permanently disable your account at any time, with or without warning, at the Platform's sole discretion.

6.1 Prohibited Content

You agree not to upload, publish, or make available any content that, in the sole discretion of the Platform:

• Contains pornography, sexually explicit material, or graphic sexual content
• Exploits or endangers minors in any way
• Promotes, glorifies, or facilitates illegal activity, including but not limited to drug trafficking, violence, terrorism, or criminal conduct
• Contains hate speech, harassment, threats, or content that targets individuals or groups based on protected characteristics
• Is excessively vulgar, obscene, or distasteful
• Is primarily political, ideological, or advocacy-driven in a manner that may be offensive, inflammatory, or divisive to users
• Is deceptive, misleading, or fraudulent
• Infringes intellectual property, privacy, or other legal rights
• Contains malware, spyware, or malicious code
• Otherwise creates legal, regulatory, reputational, or operational risk for the Platform

6.2 Platform Discretion

The Platform retains the exclusive and final authority to determine whether any content is permitted on the Platform.

The Platform may remove, restrict, disable, or refuse to host any content at any time, with or without notice, and for any reason or no reason, including reasons not expressly listed in this Agreement.

Creators acknowledge that content moderation decisions are subjective by nature and agree that the Platform's determinations shall be final.

6.3 Effects of Content Disabling

When content is disabled by the Platform:

• The content will no longer appear in the Platform's media library
• The content will be automatically removed from all playlists, including user-created and system-generated playlists
• The content cannot be streamed or accessed
• The content cannot be added to new playlists
• No compensation will be earned for streams occurring while the content is disabled
• Disabled content may continue to appear in the Creator Dashboard with a "Disabled" status and a general reason for removal, but may not be editable.

6.4 Notification and Appeals

Where practicable, the Platform may notify Creators of content removal and provide limited information regarding the reason for the action.

Creators may submit an appeal or inquiry by contacting customer support at [email protected]. The Platform is not obligated to reinstate content and retains sole discretion over appeal outcomes.

6.5 No Obligation to Monitor

The Platform is not obligated to review, pre-screen, or monitor content. Failure to remove or disable any content shall not constitute approval or endorsement.

7. DMCA Compliance Policy

The Platform complies with the Digital Millennium Copyright Act (DMCA).

7.1 Copyright Complaints

7.2 Counter-Notification

Creators may submit counter-notifications as permitted by law.

8. Refund Policy

Subscription payments are non-refundable. Creator payouts are final once issued.

9. Suspension and Termination

Upon termination:

• Outstanding accrued earnings may be paid
• Content licenses terminate
• Access is revoked

10. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is not liable for lost profits
• Liability is limited to amounts paid to the Creator in the preceding 12 months

11. Indemnification

You agree to indemnify and hold harmless the Platform from claims arising from:

• Uploaded content
• Breach of this Agreement
• Intellectual property violations

12. Governing Law

This Agreement is governed by the laws of the State of Nevada, without regard to conflict-of-law principles.

13. Privacy Note (Creator-Specific)

Creator payout and tax information is handled securely by the Platform's payment and tax service providers. The Platform does not store full tax identification numbers.

14. Changes

The Platform may update this Agreement from time to time. Continued participation constitutes acceptance of the updated Agreement.
